Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and nano-soft technology srl ("we," "us," or "our"), a company incorporated and registered in Romania (EU), governing your access to and use of the Perqly platform at perqly.xyz (the "Service").

By creating an account, accessing the Service, or completing a purchase, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, do not use the Service.

Perqly is a curated subscription directory of startup perks, credits, and discounts offered by technology companies. The Service provides:

• A searchable database of 200+ startup credits and discounts
• Step-by-step claim instructions for each perk
• Eligibility information and requirements for each program
• A personal dashboard to save and track perks
• Weekly updates and new perk notifications

To use Perqly, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable law

If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us promptly at hello@perqly.xyz if you suspect unauthorised access

You may not share your account or credentials with any third party, or create multiple accounts for the same individual or entity to circumvent subscription fees.

You agree not to:

• Scrape, crawl, or systematically download any content from the Service
• Reproduce, redistribute, or resell any content or data from the Service without written permission
• Share your account or subscription access with others
• Use the Service for any unlawful purpose or in violation of applicable law
• Attempt to gain unauthorised access to any part of the Service or our infrastructure
• Transmit viruses, malware, or any code designed to harm the Service or its users
• Interfere with or disrupt the integrity, performance, or availability of the Service

We reserve the right to suspend or permanently terminate accounts that violate these restrictions without prior notice and without refund.

All content, design, source code, and data within the Service — including the curated perk database, claim instructions, copy, visual assets, and trademarks — are the exclusive property of nano-soft technology srl or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own personal or internal business purposes only. No other rights are granted. You may not reproduce, distribute, modify, create derivative works of, or commercially exploit any part of the Service.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The Service will be uninterrupted, error-free, or available at all times
• The perk listings are complete, current, or accurate at the time you access them
• You will qualify for or successfully claim any listed perk
• Third-party programs will accept your application or honour their listed terms

To the fullest extent permitted by applicable law, nano-soft technology srl and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including loss of profits, loss of data, or loss of business opportunities.

In any event, our total aggregate liability for any claims arising under or related to these Terms shall not exceed the greater of (a) the total fees you paid to us in the 12 months immediately preceding the claim, or (b) $50 USD.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited under Romanian or EU law.

You may close your account at any time by cancelling your subscription and deleting your account from the settings page.

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms or if we determine that your conduct poses a risk to the Service or other users. Terminations for cause are not eligible for a refund.

Upon termination, your right to access the Service ceases immediately. Provisions that by their nature should survive termination — including intellectual property rights, disclaimers, and limitation of liability — will survive.

These Terms are governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. Where you are a consumer resident in the European Union, mandatory EU consumer protection laws apply and may provide additional protections.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Romania, except where mandatory EU law provides otherwise.

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 14 days' notice to registered users via email and by updating the "Last updated" date at the top of this page. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of those changes.
